These Terms and Conditions (the "Agreement") constitute a legally binding agreement between you ("you" or the "Client") and DEFSOLUTION LLC. , ("Pixelant," "we," or "our"), governing your access to and use of our website (www.pixelant.ai) and any related products or services (the "Services").

Acceptance of Terms

By registering for, accessing, or using Pixelant, you acknowledge that you have read, understood, and agreed to be bound by this Agreement. If you do not agree to any part of this Agreement, you must not register or use the Services.

We may update this Agreement at any time. You will be notified of material changes via our website or by email before they take effect. Such modifications will become effective thirty (30) days after notice. Your continued use of the Services after the effective date constitutes your acceptance of the updated Agreement.

Definitions

The following terms shall apply to this Agreement, the Privacy Policy, the Disclaimer, and all other agreements between Pixelant and you:

"Client," "you": any individual or entity that registers for or uses Pixelant Services;
"Pixelant," "we": refers to DEFSOLUTION LLC. ;
"Services": AI-based image recognition, optical character recognition (OCR), and related services offered by Pixelant;
"API": Application Programming Interface;
"Availability": the state in which the Services are operational and accessible to the Client.

Any singular/plural, capitalizations, or gender-specific forms carry the same meaning. Headings are for convenience only and do not affect interpretation.

Client Representations and Warranties

You hereby represent and warrant that:

You have the legal capacity and authority to enter into this Agreement;
All information provided by you is truthful, accurate, complete, and lawful;
You will not share, transfer, or sell your account credentials to others; any violation may result in suspension or termination;
You will not use the Services for any unlawful activities, infringement of third-party rights, or any activity against public interest;
You agree to comply with this Agreement, related policies, and all applicable laws and regulations;
To the fullest extent permitted by law, you shall be solely responsible for your use of the Services, and you shall defend, fully indemnify, and hold us harmless from and against any and all claims, actions, damages, expenses (including reasonable attorneys’ fees), losses or liabilities incurred by or asserted against us for injury (including death) to persons or damage or destruction to property and any and all fees, costs or penalties incurred by us, to the extent that such claims, actions, damages, expenses, losses, liabilities, fees, costs or penalties are caused by or arise out of your use of the Services; provided that you shall not be required to indemnify us for any loss or claim to the extent such loss or claim is due to the negligence or willful misconduct of us.

AI Output Disclaimer

The outputs generated by Pixelant's AI models are based on statistical inference from user inputs and may contain inaccuracies, incompleteness, or misleading content. Pixelant makes no warranties regarding the accuracy, applicability, or legality of any output and disclaims all liability for any direct or indirect losses resulting therefrom.

Data Processing Addendum (DPA)

If personal data is involved:

The Client shall act as the Data Controller, and Pixelant as the Data Processor;
The Client is responsible for ensuring the lawful origin of the data and authorizing Pixelant to process it for agreed purposes;
Pixelant shall not use Client data to train its own models or share it with third parties;
Clients may request data export or deletion, and Pixelant will respond within a reasonable timeframe (e.g., within seven business days);
Data processing is subject to our Privacy Policy and applicable data protection laws.

Acceptable Use Policy

Clients may not use the services to:

Generate or distribute false information, discriminatory content, harassment, violence, illegal or inappropriate material;
Develop or deploy unethical or unlawful AI models or systems;
Resell or share the Services or outputs without authorization.

Pixelant reserves the right to immediately suspend Services upon detecting violations and may pursue legal action.

Fees and Billing

All Services are billed either through pre-paid packages or usage-based billing:

Auto-Renewal: If enabled, your subscription will renew automatically when expired or depleted;
Manual Renewal: If auto-renewal is disabled, you must manually select and confirm renewal.

All payments are non-refundable. Unused package balance before expiration may be converted to credits but cannot be refunded to your payment account.

Pixelant reserves the right to adjust pricing and terms with prior notice. Refund requests must be initiated via customer support. Refunds requested without contact may result in suspension of your API key. We reserve the right to reject any order suspected of fraud or illegal use.

Service Availability Disclaimer

While we strive to offer stable and reliable Services, due to the technical nature of AI inference, Pixelant does not provide a binding Service Level Agreement (SLA).

We will make best efforts to maintain continuity and promptly address any service disruptions. However, we are not liable for interruptions caused by:

Third-party platform limitations, bans, or API changes;
Force majeure events such as natural disasters or network outages;
Misconfigurations or incorrect integrations by the Client.

Refund Policy

Pixelant offers intangible goods and does not support refunds;
We are not responsible if your technical limitations prevent you from using the Services;
Comprehensive guides and documentation are provided on our website;
We are not liable for incompatibility with third-party software or plugins.

Confidentiality

All commercial, technical, and data-related information disclosed between the parties shall be considered confidential. Parties shall not disclose such information unless:

Prior written consent is obtained;
Disclosure is required by law (with prior notice and limited scope where feasible).

Confidentiality obligations survive termination of the Agreement until the information enters the public domain.

Disclaimer

To the extent permitted by law, services are provided "as is" without any warranties, express or implied.

This disclaimer does not limit liability for:

Death or personal injury;
Fraud or fraudulent misrepresentation;
Violations of statutory obligations;
Any non-excludable liabilities under applicable law.

Pixelant shall not be liable for any indirect, special, incidental, punitive damages, or loss of profits, revenue, or data (whether in contract, tort, negligence, or otherwise) even if advised of such possibility. Our aggregate liability is limited to the total fees paid by the Client in the six (6) months preceding the event.

Links and Third-Party Content

Approved organizations may link to Pixelant’s website, provided such links are not misleading or unlawful. The use of our name, logo, or content in iframes without written consent is prohibited.

Intellectual Property

Unless otherwise stated, Pixelant owns all content and intellectual property rights on its platform. Users may not copy, resell, modify, or reuse any site content without permission.

Abuse and Violation Reporting

Pixelant prohibits the use of Services for illegal purposes, including but not limited to fraud, illegal scraping, offensive behavior, or data abuse.

We support ethical AI growth for startups in SEO, ad verification, and ethical AI applications.

Reporting Channels:

For rights holders: Report misuse to abuse@pixelant.ai. We may suspend access and assist with evidence collection;
For anti-crawling organizations: Notify us immediately. Verified abuse will result in account termination.

Compliance Statement

Pixelant will cooperate with law enforcement on illegal usage investigations. We reserve the right to block your access to the Services regarding certain content in our sole discretion for compliance purposes, you are not entitled to any form of compensation, liability, indemnification from us for such blocking actions conducted by us.

We reserve the right to conduct Know Your Customer (KYC) verification and may share information with third parties for compliance purposes.

We reserve the right, but are not obligated, to monitor your use of the Services to verify that you have not conducted any of the Prohibited Activities as described below.

The use of the Services for illegal, fraudulent, or abusive activities is strictly prohibited , and any such suspicious activities will be duly investigated.

Prohibited Activities include (but are not limited to):

DDoS attacks;
Collecting non-public data;
Harming website security;
Spamming or ad fraud;
Impersonation or deceptive practices;
Service abuse or resale;
Creating fake accounts or content;
Automated ticket purchases;
Creating reputational or legal risk;
Violating laws or this Agreement.

Force Majeure

Pixelant shall not be liable for failure or delay in performance due to events beyond our reasonable control, including but not limited to natural disasters, war, cyberattacks, or policy changes.

Dispute Resolution

In the event of any dispute, please first contact support@pixelant.ai. Each party agrees to attempt amicable resolution through authorized representatives.

User Comments

Users may post comments in designated areas of the website. Pixelant does not pre-screen comments and does not endorse their content. We are not liable for comments to the extent permitted by law.

We reserve the right to monitor and remove inappropriate content. You represent that:

You have the right to post the comments;
Comments do not infringe third-party rights;
Comments do not contain defamatory, obscene, or illegal content;
Comments are not used for unsolicited commercial or unlawful activity.

You grant Pixelant a non-exclusive, sublicensable, worldwide license to use your comments in any format or media.

Content Liability

We are not responsible for content hosted on your website. You agree to indemnify us against any claims arising from linked content. Linking to us from defamatory, illegal, or infringing websites is prohibited.

Miscellaneous

This Agreement constitutes the entire agreement between the parties. If any clause is deemed invalid, the remainder shall remain in effect.

No delay or failure by any party to insist upon the strict performance of any covenant, duty, agreement or conditions of this Agreement or to exercise any right or remedy consequent upon a breach thereof shall constitute a waiver of any such breach or any other covenant, duty, agreement or condition.
